Rules of the Nexo Double Referral Rewards Campaign

1. General Rules

1.1. The Nexo Double Referral Rewards Campaign (hereinafter referred to as “the Campaign”) shall be conducted within the period from 13:00 UTC on December 8, 2025, until 23:59 UTC on December 31, 2025 (“the Campaign Period”).

1.2. The organisation and conduct of the Campaign, as well as the participation therein, shall be governed by the terms and conditions of the present rules (“the Rules”) and the Nexo Terms of Service (“General Terms”), available on the Nexo Platform.

2. Definitions

2.1. “Referring Participant” shall mean a Participant who invites a Referred Participant to participate in the Campaign by sharing their personal referral link, as indicated on the Nexo Platform. 

2.2. “Referred Participant” shall mean an individual who opens a Nexo Account during the Campaign Period through a Referring Participant’s referral link.

3. Right of Participation

3.1. Clients who comply with the Rules and the General Terms and are not (i) citizens or residents of the USA, or (ii) residents of Canada, UK, or any other jurisdictions where we have restricted our services and who have been selected for participation by Nexo can participate in the Campaign (separately referred to as “Participant”, and collectively as “Participants”). Eligible Referring Participants will be notified by Nexo via email and/or through the Nexo Platform. For the avoidance of doubt, individuals who have opened a Nexo Account at any point prior to the beginning of the Campaign Period shall not be eligible to participate in the Campaign as Referred Participants.

3.2. By participating in the Campaign, every Participant declares full and unconditional consent to the Rules and agrees to accept as final and binding all Nexo’s decisions with regard to the Campaign.

4. Mechanism 

4.1. Both the Referring Participant and the Referred Participant shall be eligible for a Reward, subject to the conditions of Art. 5 below, if the following cumulative requirements are met:

4.2. The Referred Participant has opened their Nexo Account through the Referring Participant’s referral link during the Campaign Period; and

4.3. The Referred Participant has completed the identity verification procedure as described on the Nexo Platform and in the General Terms and topped up the equivalent of USD 5,000 in Digital Assets using the available methods on the Nexo Platform in one or multiple transactions within 15 calendar days of successfully opening their Nexo Account.

4.4. For the avoidance of doubt, the conditions stipulated in Art. 4.1.2. shall be fulfilled only after Nexo successfully verifies the information provided by the Participant, respectively confirms receipt of the topped-up Digital Assets, subject to the General Terms and as described on the Nexo Platform. By entering the Campaign, Participants acknowledge and agree that they shall not be entitled to any claim in respect of any losses incurred as a result of Nexo’s inability to verify the necessary information during the respective timeframe.

4.5. For the purposes of Art. 4.1.2., top-ups are valued at the time of the top-up according to the USD value indicated in the Referred Participant’s Nexo Account.

4.6. If the Referred Participant receives internal transfers from other Nexo Accounts during the Campaign Period, the Accumulation Period, or any of the Holding Periods, both the Referring Participant and the Referred Participant are disqualified from the Campaign with immediate effect and any part of the Reward not yet paid out is deemed forfeited.

4.7. For the avoidance of doubt, each Referring Participant can share their referral link with multiple Referred Participants and therefore participate in the Campaign through multiple independent entries.

5. Rewards

5.1. Eligible Participants shall receive a reward from the Campaign (“Reward”), which shall be calculated in the following manner:

Nexo shall make a snapshot of the Referred Participant’s Portfolio Balance at 00:00 UTC every day for 30 calendar days, starting from the day the cumulative top-ups under Art. 4.1.2. above reach the equivalent of USD 5,000 (“Accumulation Period”). At the end of the Accumulation Period, Nexo shall calculate the average of the snapshots in USD, which shall become the base for calculating the Reward (“Reward Base”). The Referring Participant and the Referred Participant are only eligible for Rewards if the Reward Base is greater than or equal to USD 5,000.

5.3. The Reward shall be calculated at 1% of the Reward Base, but not exceeding USD 5,000. The Referring Participant and the Referred Participant shall each be eligible to receive half of the Reward, up to the equivalent of USD 2,500 per Participant. The Reward is paid out in 12 equal instalments, whereby the respective USD amount of each instalment is converted to BTC at the prevailing market rate at the time of payout and transferred to the Participants’ Savings Wallets, subject to the conditions outlined below. The first instalment is paid out to eligible Participants at the end of the Accumulation Period. The remaining 11 instalments are paid out over the following 11 months, subject to Art. 5.1.3. below.

5.4. In order for the Participants to be eligible for an instalment, the Referred Participant must maintain a Portfolio Balance greater than or equal to the Reward Base during the 30 calendar days following the payout of the last instalment (“Hold Period”). If this condition is not fulfilled, the respective instalment is forfeited. Participants remain eligible for the next instalments, if available, subject to the Referred Participant’s Portfolio Balance being greater than or equal to the Reward Base during the entirety of the respective Hold Period.

5.5. Requests for cash or another Reward substitution and requests for transfer or assignment of the Reward to third parties shall neither be allowed nor considered by Nexo.

5.6. The Participants shall be fully and solely responsible for: (i) any and all Reward-related expenses, including without limitation any and all federal, state, and/or local taxes, any fees or sanctions imposed in this regard; (ii) ensuring their compliance with any and all applicable federal, state, and local laws and regulations in regard to the Reward receipt.

ANY VIOLATION OF THE RULES BY THE PARTICIPANT WILL RESULT IN THE PARTICIPANT’S DISQUALIFICATION FROM THE CAMPAIGN.

6. Rights Reserved by Nexo

6.1. Nexo reserves the right, at its sole discretion, to cancel, terminate, modify, or suspend the Campaign should virus, bug, non-authorized human intervention, fraud, or other cause beyond Nexo’s control corrupt or affect the administration, security, fairness, or proper conduct of the Campaign.

6.2. Nexo reserves the right, at its sole discretion, to disqualify, revoke, or deny the Campaign’s Reward, block access to products, or exclude from future promotional offers any client who tampers or attempts to tamper with the entry process or the operation of the Campaign, including but not limited to engaging in dishonest or abusive activities, bulk-account registrations to obtain additional Rewards, using the same top-up/withdrawal addresses or generating activity from the same IP address and any other activity that is unlawful, fraudulent, or harmful or such that violates the Rules or the General Terms. Nexo has the right, at its sole discretion, to maintain the integrity of the Campaign by preventing any violations, including, but not limited to, the use of bots, macros, scripts, or other technical means for entering. Any attempt by a Participant to undermine the legitimate operation of the Campaign may represent a violation of criminal and civil laws. Should such an attempt be made, Nexo reserves the right to seek damages to the fullest extent permitted by law.

7. Others

7.1. Nexo may amend the rules, at its sole and absolute discretion at any time during the Campaign Period or otherwise.

7.2. Any notice required or made under these Rules by any Participant to Nexo shall only be made via e-mail in English to [email protected]. Any notice required or made under these Rules from Nexo to any Participant shall be considered validly received when addressed to the Participant’s last provided email address, mailing address or phone number, or when communicated through the Nexo Platform.

7.3. Nexo shall have no liability for any Participant’s failure to receive notices therefrom regarding the Campaign due to spam, junk e-mail or other security settings or any Participant’s provision of incorrect or non-functioning contact details. If a Participant cannot be contacted or is ineligible, Nexo, at its sole discretion, may invalidate any Reward.

7.4. All relations between Nexo and the Participants will be governed by the present Rules, the General Terms, and the Applicable Law, as defined by the General Terms. 

7.5. By entering the Campaign, the Participants declare that they have reviewed, accepted, and consented to all terms and conditions of the Rules.
