Rules of the Nexo AFA Campaign

1. General Rules

1.1. The Nexo AFA Campaign (hereinafter referred to as “the Campaign”), shall be conducted within the period from 15:00 UTC on May 07, 2026, until 15:00 UTC on July 18, 2026 (“the Campaign Period”) by Nexo Services S.A., CUIT 30719064783, with registered office on Cerrito 782, Floor 6, City of Buenos Aires, Argentina (Zip Code 1010) ("Nexo").

1.2. The organisation and conduct of the Campaign, as well as the participation therein, shall be governed by the terms and conditions of the present rules (“the Rules”) and the Nexo Terms of Service (“General Terms”), available on the Nexo Platform. In the event of a conflict between the Rules and the General Terms, the Rules shall prevail, to the extent of the inconsistency. The Campaign is void where prohibited or restricted by Applicable Law.

1.3. Participation in the Campaign does not require any purchase or financial transaction. See Article 4 for the Free Alternative Method of Entry (“AMOE”).

2. Right of Participation

2.1. Clients of Nexo Services S.A. who: (i) comply with the Rules and the General Terms, (ii) are residents of the Argentine Republic, with the exception of Neuquén, Salta, Rio Negro, Jujuy, Tierra del Fuego, and Chubut, (iii) are natural persons of at least 18 years of age, and (iv) have opened a verified Nexo Account with Nexo Services S.A. in good standing before or during the Campaign Period, may participate in the Campaign (each a "Participant", and collectively the "Participants").

2.2. The following persons may not participate in the Campaign: (i) employees, directors, officers, and agents of Nexo and its affiliated entities, and their immediate family members; (ii) persons whose Nexo Accounts have been suspended, restricted, or terminated; (iii) persons who reside in any jurisdiction where participation in the Campaign would be prohibited or restricted by Applicable Law.

2.3. By participating in the Campaign, every Participant declares full and unconditional consent to the Rules and agrees to accept as final and binding all Nexo's decisions with regard to the Campaign.

3. Mechanism

3.1. Participants automatically receive entries (“Entries”) into the Prize Draws through qualifying actions on the Nexo Platform during the Campaign Period (“Qualifying Actions”) in the following manner:

3.1.1. Net New Deposits: USD 1 = 1 Entry;

3.1.2. Eligible Exchange Transactions: USD 1 = 2 Entries;

3.1.3. Eligible Nexo Crypto Credits: USD 1 = 5 Entries;

3.1.4. NEXO Token Purchases: USD 1 = 5 Entries;

3.2. For the purposes of Article 3.1.1, the Net New Deposits balance is calculated as follows:

3.2.1. Top-ups of supported assets into the Nexo Account (e.g., through a bank transfer or external wallet), excluding transfers from a Nexo Pro Account and internal transfers from other Nexo clients, increase the Net New Deposits balance by the amount of the top-up.

3.2.2. Withdrawals, transfers outside of the Nexo Platform, and internal transfers to other Nexo users decrease the Net New Deposits balance by the amount of the withdrawal or transfer.

3.2.3. For the purposes of calculating the Net New Deposits balance, all top-ups, transfers, and withdrawals are valued in USD at the time of the respective transaction. The number of Entries generated through the Net New Deposit mechanism updates dynamically after each relevant transaction.

3.3. For the purposes of Article 3.1.2, an Eligible Exchange Transaction is an Instant Order,  Limit Order, Trigger Order, or Bundle Order executed during the Campaign Period. Notwithstanding the preceding sentence, Exchange Transactions where NEXO Tokens are the Base Asset or Counter Asset do not constitute Eligible Exchange Transactions. For the avoidance of doubt, Exchange Transactions executed as part of the provision of other Nexo Services, excluding the Booster (such as top-up through bank transfer and Buy with Card), shall not constitute Eligible Exchange Transactions. Upon the execution of an Eligible Exchange Transaction, the amount of the Base Asset is valued in USD, and the number of Entries is calculated accordingly. 

3.4. For the purposes of Article 3.1.3, Eligible Nexo Crypto Credits shall mean Nexo Crypto Credits with the exception of Nexo Crypto Credits taken out in connection with Futures, Zero-interest Credit, or using the Nexo Card in Credit Mode. The amount of cryptoassets borrowed is valued in USD at the time of the respective transaction, and the number of Entries is calculated accordingly. For the avoidance of doubt, Booster transactions generate Entries for both Eligible Exchange Transactions and Eligible Crypto Credits by calculating separately the Entries generated by either mechanism. As an illustration of the foregoing, where assets of USD 1 value are used as a Base Asset in a Booster transaction with 3x magnification, 5 x 2 = 10 Entries are received for the Eligible Crypto Credit, whereas 2 x 2 = 4 Entries (where the Base Asset and Counter Asset are the same) or 2 x 3 = 6 Entries (where the Base Asset and Counter Asset are different) are generated for the Eligible Exchange Transactions, depending on whether the Base Asset and Counter Asset are the same, resulting in a total of 14 or 16 Entries. 

3.5. For the purpose of Article 3.1.4, the NEXO Token Purchases will be calculated as follows:

3.5.1. Any purchase of NEXO Tokens or exchange of other assets for NEXO Tokens increases the NEXO Token Purchases balance.

3.5.2. Any sale of NEXO Tokens or exchange of NEXO Tokens for other assets does not reduce the NEXO Token Purchases balance.

3.5.3. For the purposes of calculating the NEXO Token Purchases balance, the NEXO Tokens bought or exchanged for are valued in USD at the time of the respective transaction, and the number of Entries is calculated accordingly.

3.6. A Participant's total Entry count at any Draw Date equals the sum of all Entries accumulated up to the Draw Date. New Entries earned between Draw Dates are added to the Participant's total for subsequent Prize Draws. The number of Entries is rounded down to the nearest whole number.

3.7. The maximum number of Entries per Participant is 100,000 ("Entry Cap"). Any Entries earned in excess of the Entry Cap shall not participate in the Prize Draws. For the avoidance of doubt, the Entry Cap is calculated at the Draw Date. If Clients have earned Entries above the Entry Cap, and they subsequently lose Entries, the lost Entries shall be subtracted from the total number of Entries, rather than the Entry Cap.

4. Free Alternative Method of Entry

4.1. Participation in the Campaign does not require any purchase, top-up, transaction, or financial commitment. Any eligible person meeting the requirements of Article 2.1 may obtain one Entry free of charge by opening a Nexo Account during the Campaign Period for all Prize Draws conducted after their successful account creation. An account shall be deemed as created only after Nexo successfully verifies the information provided by the Participant, subject to the General Terms and as described on the Nexo Platform. By entering the Campaign, Participants acknowledge and agree that they shall not be entitled to any claim in respect of any losses incurred as a result of Nexo’s inability to verify the necessary information or provide them with the Nexo Services during the Campaign Period.

4.2. For the avoidance of doubt, clients who have opened a Nexo Account before the Campaign Period shall be granted one Entry free of charge for all Prize Draws.

5. Prize Draws

5.1. During the Campaign Period, three prize draws shall be conducted ("Prize Draws"), on the following dates ("Draw Dates"):

5.1.1. Prize Draw 1 - 15:00 UTC on May 18, 2026;

5.1.2. Prize Draw 2 - 15:00 UTC on June 1, 2026;

5.1.3. Prize Draw 3 - 15:00 UTC on June 8, 2026;

5.2. Winners shall be selected by a verifiable random selection process from among all Participants holding at least one Entry (whether earned through Qualifying Actions under Article 3 or through the AMOE under Article 4) at the relevant Draw Date. Each Entry represents one chance in the random selection. The random selection shall be conducted by means of a verifiable random number generator, as determined by Nexo.

5.3. A Participant cannot win more than one Prize in the same Prize Draw, regardless of the Prize Tiers. A Participant who wins a prize in one Prize Draw remains eligible for subsequent Prize Draws, except that a Participant who wins a Tier 1 Prize shall not be eligible to win another Tier 1 Prize in a subsequent Prize Draw.

5.4. Winners shall be notified by Nexo via email and/or telephone within five (5) Business Days of the relevant Draw Date. Each winner must confirm acceptance of the prize and provide any required documentation within forty-eight (48) hours of notification. Failure to respond within this period, or failure to provide the required documentation (including, without limitation, a proof of address and the documentation required under Article 6.2), shall constitute a forfeiture of the prize, and Nexo shall select an alternative winner using the same random selection process. If there are no eligible winners after a Prize Draw, Nexo reserves the right not to distribute the respective prizes.

6. Prizes

6.1. The following prizes (“Prizes”) shall be awarded at each Prize Draw:

6.1.1. Tier 1 Prizes - A total of 3 Tier 1 Prizes will be awarded for each Prize Draw. Each Tier 1 Prize consists of a trip for two people (one winner and one guest) called the Travel Package, which includes:

6.1.1.1. Round-trip economy class flights from Buenos Aires to the city where the Match is played (subject to availability and with possible layovers)

6.1.1.2. Arrival and departure transfers (airport/hotel/airport) at destination.

6.1.1.3. Accommodation for 3 nights in a 4-star hotel (double occupancy). 

6.1.1.4. One official Argentina national football team jersey kit (unsigned).

6.1.1.5. PAX Assistance travel insurance. Coverage is subject to the terms, conditions, exclusions, and limitations of the applicable PAX Assistance policy, which shall be provided to the winner upon request. Nexo does not act as insurer or guarantor of coverage. The winner and the companion are solely responsible for reviewing the policy and determining whether additional insurance is appropriate for their needs. Any claims under the travel insurance must be made directly with PAX Assistance in accordance with the policy terms.

6.1.1.6. Tickets for two people for the respective Match. The tickets are subject to FIFA's terms and conditions (currently available at www.fifa.com/tickets, and which FIFA may change at any time). By using or possessing the tickets, the holder and/or user accepts the FIFA terms and conditions.

6.1.2. Tier 2 Prizes - A total of 20 Tier 2 Prizes will be awarded for each Prize Draw. A Tier 2 Prize consists of an official Argentina national football team jersey, signed by an Argentina national football team player. The specific player whose signature appears on the jersey shall be determined by availability and at Nexo's sole discretion. No requests for a specific player's signature shall be considered.

6.1.3. Tier 3 Prizes - A total of 50 Tier 3 Prizes will be awarded for each Prize Draw. A Tier 3 Prize consists of an official Argentina national football team jersey (unsigned).

6.2. Tier 1 Prizes are subject to the following eligibility conditions:

6.2.1. Each Tier 1 Prize covers one winner and one guest. The guest must be designated by the winner at the time of prize acceptance and must be at least 18 years of age.

6.2.2. Both the winner and the guest must hold: (i) an Argentine passport valid for at least 6 months beyond the expected return date of the trip; and (ii) a United States visa (or other valid immigration documentation allowing entry to the United States) valid at the time of confirming acceptance under Article 5.4. and for at least 12 months beyond the expected return date of the round trip. It is the sole responsibility of the winner and the guest to obtain and maintain a valid US visa or equivalent immigration documentation. Nexo shall not be responsible for any visa application fees, denials, or delays. If a winner is unable to prove compliance with the requirements of the present Article 6.2 at the time of confirming acceptance, the Prize shall be forfeited, and an alternative winner shall be selected in accordance with Article 5.4.

6.3. For the avoidance of doubt, Tier 1 Prizes do not include the following:

6.3.1. Travel visa or other travel or entry permits that may be necessary for the winner and guest to enjoy the Travel Package,

6.3.2. Expenses related to travel at the destination, except for those expressly outlined herein;

6.3.3. Unforeseen hotel expenses (e.g., long-distance telephone calls, laundry, minibar items, room service), loss or damage to hotel property, or any other expenses incurred at the hotel;

6.3.4. Any expenses that are not expressly outlined herein.

6.4. The football matches (“Matches”) corresponding to each Tier 1 Prize in the Prize Draws are:

6.4.1. Prize Draw 1 - Argentina vs. Algeria - June 17, 2026 - Kansas City, MO;

6.4.2. Prize Draw 2 - Argentina vs. Austria - June 22, 2026 - Dallas, TX;

6.4.3. Prize Draw 3 - Argentina vs. Jordan - June 28, 2026- Dallas, TX.

6.5. Prizes are non-transferable and may not be sold, exchanged, or assigned to third parties. Requests for cash or alternative prize substitutions shall not be allowed or considered by Nexo, except that Nexo reserves the right to substitute a prize of equal or greater value if the original prize becomes unavailable for reasons beyond Nexo's control.

6.6. The Participants shall be fully and solely responsible for: (i) any and all prize-related expenses, including without limitation any and all federal, national, provincial, and/or local taxes, duties, or other charges imposed in connection with the receipt or use of the Prize; (ii) ensuring their compliance with any and all applicable laws and regulations in regard to the Prize receipt.

6.7. Nexo makes no warranty, representation, or guarantee, express or implied, regarding any Prize, including without limitation its quality, fitness for a particular purpose, or merchantability.

6.8. Tier 2, 3, and 4 Prizes shall be delivered to winners at the address provided upon acceptance, within a reasonable period following the relevant Draw Date. Nexo shall not be liable for any loss, damage, or delay in delivery attributable to the postal or courier service.

6.9. The mathematical probability of winning a Prize depends on the total number of Entries accumulated by all participants in a draw.

7. Extension of the Campaign

7.1. In case the Argentina national football team advances beyond the group stages of the FIFA World Cup 2026, Nexo may, at its sole discretion, announce additional Prize Draws and/or Prizes during the knockout stages of the tournament (“Knockout Stage Prizes”).

7.2. The specific Prizes, eligibility criteria, entry mechanisms, and Draw Dates for the Knockout Stage Prizes, if any, shall be communicated by Nexo on the Nexo Platform prior to the relevant Draw Dates.

7.3. For the avoidance of doubt, Nexo is under no obligation to offer Knockout Stage Prizes. The possibility of Knockout Stage Prizes does not create any entitlement, expectation, or right on the part of Participants. Nexo's decision on whether to offer Knockout Stage Prizes and the terms thereof shall be final and binding.

7.4. Any Knockout Stage Prizes shall be governed by the present Rules to the extent applicable, and by any supplementary rules communicated by Nexo at the time of announcement.

8. Data Protection

8.1. By participating in the Campaign, Participants acknowledge and consent to the collection, processing, and use of their personal data by Nexo for the purposes of administering the Campaign, including without limitation: (i) verifying eligibility, (ii) calculating Entries, (iii) conducting Prize Draws, (iv) notifying and communicating with winners, (v) delivering Prizes, and (vi) publishing the names or pseudonyms of winners, subject to Applicable Law.

8.2. Personal data collected in connection with the Campaign shall be processed in accordance with Nexo's Privacy Policy, available on the Nexo Platform, and applicable data protection legislation, including Argentina’s Personal Data Protection Law No. 25,326.

8.3. Participants have the right to access, rectify, and request deletion of their personal data by contacting Nexo at [email protected], subject to Nexo's legal obligations to retain certain data.

9. Rights Reserved by Nexo

9.1. Nexo may increase the number of Prizes offered and/or extend the Campaign Period at its sole discretion.

9.2. Where circumstances beyond Nexo's control, not foreseen in these Rules, or constituting force majeure justify it, Nexo may suspend, cancel, or modify the Campaign. In such cases, Nexo shall notify Participants via the Nexo Platform as soon as reasonably practicable.

9.3. Nexo reserves the right to disqualify any Participant who: (i) violates these Rules or the General Terms, (ii) engages in fraudulent, abusive, or deceptive conduct in connection with the Campaign, including without limitation the use of bots, macros, scripts, wash trading, self-dealing, multi-account activity, or other unauthorised technical means to artificially inflate Entry counts, or (iii) provides false or misleading information in connection with the Campaign. Disqualified Participants shall forfeit any Entries and Prizes associated with their participation.

9.4. Any attempt by a Participant to undermine the legitimate operation of the Campaign may represent a violation of criminal and civil laws. Should such an attempt be made, Nexo reserves the right to seek damages to the fullest extent permitted by law.

10. Jurisdiction

10.1. Any relationship arising between the Participant and Nexo as a result of this Promotion shall be governed by and subject to the laws of the Republic of Argentina. For any legal matter that may arise from the execution of this Promotion, the Participants and Nexo shall submit to the jurisdiction of the competent ordinary courts located in the Autonomous City of Buenos Aires or as provided by Applicable Law.

11. Limitation of liability

11.1. To the maximum extent permitted by Applicable Law, Nexo, its affiliates, directors, officers, employees, agents, and partners shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with the Campaign, including without limitation: (i) any inability to participate in the Campaign due to technical issues, network failures, or force majeure; (ii) any injury, loss, or damage of any kind arising from the acceptance, possession, or use of any Prize; (iii) any travel-related incidents, delays, cancellations, or disruptions in connection with Tier 1 Prizes. Nothing in these Rules shall exclude or limit liability that cannot be excluded or limited under Applicable Law.

12. Others

12.1. Any notice required or made under these Rules by any Participant to Nexo shall only be made via e-mail in Spanish or English to [email protected]. Any notice required or made under these Rules from Nexo to any Participant shall be considered validly received when addressed to the Participant’s last provided email address, mailing address or phone number or when communicated through the Nexo Platform (e.g. in-app message, site notice, etc.).

12.2. Nexo shall have no liability for any Participant’s failure to receive notices therefrom regarding the Campaign due to spam, junk e-mail, or other security settings, or any Participant’s provision of incorrect or non-functioning contact details.

12.3. The Campaign is not sponsored, endorsed, administered by, or associated with FIFA. References to FIFA World Cup 2026 are made solely for the purpose of identifying the sporting event to which the Prizes relate.

12.4. All relations between Nexo and the Participants will be governed by the present Rules, the General Terms, and the Applicable Law, as defined by the General Terms.

12.5. If any provision of these Rules is held invalid or unenforceable, the remaining provisions will remain in full force and effect. A failure to enforce any provision is not a waiver.

12.6. These Rules are drafted and published in Spanish. Any translation into other languages is provided for convenience only. In the event of any discrepancy or inconsistency between the Spanish-language version and any translation, the Spanish-language version shall prevail and be considered final and binding.
